1. Acceptance of Terms

By accessing or using any website, application, or service operated by Zunyi Xiaobo Network Technology Co., Ltd. (trading as Dawn Wise), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must not access or use our services.

Dawn Wise provides automotive-related digital services, including but not limited to vehicle information platforms, marketplace listings, data analytics, and connected-vehicle solutions (collectively, the "Services"). The specific features and scope of the Services may be modified, expanded, or discontinued at our sole discretion without prior notice.

We strive to ensure the accuracy and reliability of information provided through the Services, but we do not guarantee that any content, listing, or data point is complete, current, or error-free.

3. User Obligations

As a user of the Services, you agree that:

• You are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into these Terms.
• You will provide accurate, current, and complete information when creating an account or using the Services, and you will promptly update such information as necessary.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
• You will not use the Services for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.

The Dawn Wise name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Zunyi Xiaobo Network Technology Co., Ltd. You must not use such marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms. This license does not include any right to reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any portion of the Services without our express written consent.

5. Limitation of Liability

To the fullest extent permitted by applicable law, Zunyi Xiaobo Network Technology Co., Ltd., its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Services;
• Any conduct or content of any third party on the Services;
• Any content obtained from the Services; or
• Unauthorized access, use, or alteration of your transmissions or content.

Our aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to us, if any, in the twelve (12) months preceding the claim, or (b) one hundred United States dollars (USD $100).

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Indemnification

You agree to defend, indemnify, and hold harmless Zunyi Xiaobo Network Technology Co., Ltd., its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Services, including any content you submit, post, or transmit;
• Your violation of any third-party right, including intellectual property or privacy rights; or
• Your violation of any applicable law, rule, or regulation.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with us in asserting any available defenses.

7. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

If you wish to terminate your account, you may do so by discontinuing your use of the Services and contacting us at the address provided below.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the competent courts located in Zunyi, Guizhou Province, People's Republic of China. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

9. Dispute Resolution

Informal Resolution. Before filing any formal legal action, you agree to first contact us at help@dawnwise.autos and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally and will respond within thirty (30) days of receipt.

Arbitration. If the dispute cannot be resolved informally, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by arbitration administered by a recognized arbitration institution in China in accordance with its rules. The arbitration shall take place in Zunyi, Guizhou Province, and the proceedings shall be conducted in Chinese or English as mutually agreed. The arbitral award shall be final and binding on both parties.

Exceptions. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts as necessary to protect its intellectual property rights, trade secrets, or other proprietary interests.
